I don't know if this is HTM's policy, but here's a sample of what I'm talking about. It's Lenox's (the china people) unilateral price policy for their dealers:

"This policy is a unilateral statement of the terms upon which Lenox will do business. Lenox does not seek and will not accept dealer agreement to this policy. Each dealer is free to establish prices at whatever levels it chooses. However, Lenox reserves the right to terminate either the product line or lines involved or the entire account if a dealer chooses not to comply with this policy.
